Flex and Mobile Driver (MDS) Respect the Drive Program Terms and Conditions (“Program Terms”)

1. Eligibility:

The Centerline Respect the Drive Program (the “Program”) is offered by Centerline Drivers, LLC (“Centerline”). The Program is open to all active Centerline commercial drivers

The Centerline Flex and Mobile Driver (MDS) Respect the Drive Program (the “Flex/MDS Program”) is offered by Centerline Drivers, LLC (“Centerline”).

The Flex/MDS Program is open to all active Centerline Flex/MDS Drivers with a commercial driver’s license in “Flex” and Mobile Driver (“MDS)” positions (“Centerline Flex/MDS Drivers”).

Any commercial driver in a Driver Management (“DMS”) position is not eligible for The Flex/MDS Program. Rather, any commercial driver in a DMS position may participate in the Driver Management (DMS) Respect the Drive Program (“DMS Program”). Any time spent on a DMS assignment or working in a DMS role would be subject to the DMS Program and its separate terms and conditions.

Additionally, any non-active commercial drivers, active, and/or non-active employees of Centerline who are not Centerline Flex/MDS Drivers (i.e., commercial drivers in a “Flex” or Mobile Driver “MDS” position), including but not limited to Driver Management (“DMS”) commercial drivers as well as all noncommercial drivers, clerical, and/or warehouse employees, are not eligible for participation in The Flex/MDS Program. For the avoidance of doubt, if a Centerline Flex/MDS Driver transitions from a Flex or Mobile Driver (“MDS”) position to a Driver Management (“DMS”) position, such individual shall be no longer eligible for participation in The Flex/MDS Program.  If a Centerline Flex/MDS Driver performs both Flex or Mobile Driver (“MDS”) and Driver Management (“DMS”) assignments, only time spend on Flex or Mobile Driver (“MDS”) assignments shall accumulate employment tenure and hours worked for the Milestone Award(s) defined below.

2. Program Period:

The Flex/MDS Program for a Centerline Flex/MDS Driver begins at on the later of (a) September 1, 2021, or (b) the first day of an individual’s latest employment start date with Centerline as a Centerline Flex/MDS Driver (after September 1, 2021) and ends on the earlier of (a) date of termination of employment OR (b) the date in which Centerline Flex/MDS Driver has earned all four (4) Milestone Awards, whichever is earlier  (the “Program Period”). Any hours worked or employment tenure incurred on non-Flex or non-Mobile Driver (“MDS”) assignments during a Centerline Flex/MDS Driver’s Program Period shall not count towards the milestone awards below.

If a Centerline Flex/MDS Driver’s Program Period ends due to their termination of employment and Commercial Driver later restarts their employment as a Centerline Flex/MDS Driver, such Commercial Driver shall no longer be eligible to receive any specific Milestone Awards received during the previous Program Period and will begin the latest Program Period at zero (0) days of employment tenure and zero (0) hours of commercial assignments worked. As an example for clarification, if during Centerline Flex/MDS Driver’s first Program Period the Centerline Flex/MDS Driver worked seven (7) months/thirteen hundred (1,300) hours and earned Milestone Award 1 and Milestone Award 2 (as described below), the Centerline Flex/MDS Driver will begin the subsequent Program Period at zero (0) hours worked with zero (0) employment tenure and shall not be eligible to earn Milestone Award 1 or Milestone Award 2 during the subsequent Program Period(s).

Any hours worked by or length of employment tenure of any Centerline Flex/MDS Drivers before or after The Flex/MDS Program Period shall not be eligible for the Milestone Awards as described below.

3. Milestone Awards

Centerline Flex/MDS Drivers shall be eligible to receive certain milestone awards and bonuses (“Milestone Awards”) based on the employment tenure and number of hours worked by Centerline Flex/MDS Drivers.

Only tenure incurred and hours worked on commercial assignments (“Flex” or Mobile Driver “MDS” assignments) shall count towards the following Milestone Awards.

To qualify for the applicable Milestone Awards below Centerline Flex/MDS Drivers must meet both the employment tenure length and number of hours worked during The Flex/MDS Program Period. For example, a Centerline Flex/MDS Driver who has over three (3) month tenure during The Flex/MDS Program Period but has worked less than six hundred and twenty-five (625) hours during The Flex/MDS Program Period is not eligible for the Milestone One (1) Award. Conversely, a Centerline Flex/MDS Driver who has worked over six hundred and twenty-five (625) hours during The Flex/MDS Program Period but has not reached three (3) month tenure during The Flex/MDS Program Period is not eligible for Milestone One (1) Award until the Centerline Flex/MDS Driver has obtained at least three (3) months tenure.

Centerline Flex/MDS Drivers must have continuous employment tenure and hours worked during The Flex/MDS Program Period to earn subsequent Milestone Awards. For the avoidance of doubt and as described above, any Centerline Flex/MDS Driver who restarts their employment will begin a new Program Period and the hours and tenure will restart at zero (0) for the latest Program Period. 

Each Centerline Flex/MDS Driver participating in The Flex/MDS Program is only eligible to receive each of the four (4) Milestone Awards only one (1) time regardless of employment tenure or number of commercial assignment hours worked and/or regardless of the number of individual Program Periods. If a Driver has earned all four (4) Milestone Awards (even if such awards were earned during different Program Periods) such Centerline Flex/MDS Driver is no longer eligible for participation in The Flex/MDS Program regardless of continued employment tenure or commercial assignment hours worked and shall not be entitled to nor shall earn any additional Milestone Awards. For example, if during a Centerline Flex/MDS Driver’s first Program Period the Centerline Flex/MDS Driver worked seven (7) months/thirteen hundred (1,300) hours and earned Milestone Award 1 and Milestone Award 2 (as described below), the Centerline Flex/MDS Driver beginning a subsequent Program Period will not be eligible to receive Milestone Award 1 or Milestone Award 2 and will not earn any award until the Centerline Flex/MDS Driver has met the requirements for Milestone Award 3.

The requirements for each Milestone Award are as follows:

  • Milestone One (1) Award: Three (3) month tenure and six hundred and twenty-five (625) hours worked = Yeti Tumbler
  • Milestone Two (2) Award: Six (6) month tenure and one thousand two hundred and fifty (1,250) hours worked = $500 Bonus
  • Milestone Three (3) Award: Nine (9) month tenure and one thousand nine hundred (1,900) hours worked = $750 bonus
  • Milestone Four (4) Award: Twelve (12) month tenure and two thousand five hundred (2,500) hours worked = $1,000 bonus

4. Rights Granted by Centerline Flex/MDS Drivers:

By participating in The Flex/MDS Program, Centerline Flex/MDS Drivers understand and agree that Centerline and anyone acting on behalf of Centerline or its respective licensees, successors, and assigns, shall have the right and permission to use Centerline Flex/MDS Driver’s name, likeness, and other biographical information for marketing, advertising, and trade purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.

5. Miscellaneous:

Centerline may change or amend these Program Terms at any time, and Centerline reserves the right in its sole discretion to change, modify, alter, amend, or terminate The Flex/MDS Program (including any Milestone Awards) at any time without notice to Centerline Flex/MDS Drivers.

All Milestone Awards shall be subject to all applicable taxes and withholding amounts required by applicable federal, state, and local laws, rules, and regulations. Centerline Flex/MDS Drivers’ subsequent paycheck will reflect the Milestone Award amount for tax and withholding purposes.

Actual/appraised value of certain Milestone Awards may differ at time of award. The specifics of The Flex/MDS Program shall be solely determined by Centerline.  Sponsor reserves the right to substitute any non-cash Milestone Award in the case of unavailability.  Milestone Awards are non-transferable.

By participating in The Flex/MDS Program Centerline Flex/MDS Drivers agree to release and hold harmless Centerline and its subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from participation in this Program or acceptance, use, or misuse of any Milestone Award.

Centerline Flex/MDS Drivers agrees that all matters arising out of or relating to this Program and these Program Terms are governed by, and construed in accordance with, the laws of Washington, without respect to conflict of law doctrines. By participating in this campaign, Centerline Flex/MDS Driver agree that all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this Program and these Program Terms, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Pierce County, Washington having jurisdiction.
